Terms of Service - Intelligence Club Mesh

1. Service Overview

What We Provide

Intelligence Club ("IC", "we", "us") operates a distributed compute network that connects customers who need AI processing services with independent operators who provide computing resources. Our platform facilitates:

Audio transcription using Whisper AI models
Image generation using Stable Diffusion models
Document processing and OCR (Optical Character Recognition)
Other AI and machine learning workloads as available

How It Works

When you submit a job to our network:

Your job enters a distributed queue system
Available network operators claim and process jobs
Results are encrypted and returned to you via email or API
You are charged "ints" (compute time units) from your prepaid balance

Network Architecture

IC Mesh operates as a decentralized network where:

Processing happens on independent operator hardware, not our servers
We coordinate jobs but do not store or access your raw data
Operators cannot access your unprocessed files or personal information
All data transfers are encrypted end-to-end

2. User Accounts and Responsibilities

Account Creation

You must provide accurate contact information
You are responsible for maintaining account security
You must be at least 18 years old or have parental consent
One person or entity per account

Prohibited Uses

You may not use IC Mesh for:

Processing illegal, harmful, or copyrighted content without permission
Generating content that violates applicable laws or regulations
Creating deepfakes, non-consensual intimate images, or deceptive content
Processing personal data of third parties without proper consent
Attempting to reverse engineer, hack, or disrupt our services
Commercial activities that compete directly with IC Mesh

Content Responsibility

You retain ownership of all content you submit
You warrant that you have rights to process submitted content
You are solely responsible for compliance with applicable privacy laws
We may refuse to process content that violates these terms

3. Payment Terms

Pricing and Billing

Services are prepaid using "ints" (1 int = 1 second of compute time)
Current pricing: $2 per 1,000 ints (see our pricing page for details)
All prices are in USD and include applicable taxes
Purchased ints never expire

Refunds

Full refunds available within 30 days of purchase
Unused ints may be refunded at any time
Failed jobs are automatically refunded to your account
Refunds processed within 5-10 business days

Payment Processing

Payments processed by Stripe, Inc.
Subject to Stripe's terms and conditions
We do not store your payment information

4. Service Availability and Performance

Network Reliability

We strive for high availability but cannot guarantee 100% uptime
Processing times depend on network capacity and job complexity
Jobs may be delayed during peak usage or network maintenance
Failed jobs are automatically retried and refunded if unsuccessful

Quality Assurance

We monitor operator performance and quarantine problematic nodes
Processing quality depends on the AI models and operator hardware
We provide best-effort service but cannot guarantee specific accuracy levels
You should verify critical results independently

Service Changes

We may modify, suspend, or discontinue services with reasonable notice
Pricing may change with 30 days notice to existing customers
New features may be added without notice
Unused credits will be honored during any service transition

5. Data Security and Privacy

Data Processing

Your files are processed by independent network operators
Operators receive encrypted job data and cannot access raw content
All data transfers use end-to-end encryption
Processed files are automatically deleted after job completion

Data Retention

Original files are deleted within 24 hours of processing
Results are stored for 30 days and then deleted
Metadata (job IDs, timestamps) retained for billing and support
Account information retained until account deletion

Data Location

Processing occurs on operator hardware worldwide
We cannot guarantee specific geographic processing locations
EU data may be processed outside the European Union
You consent to this global processing model by using our services

6. Operator Terms

Becoming an Operator

Operators must meet technical requirements and pass verification
Operators are independent contractors, not employees
Operators must maintain hardware and software dependencies
We may suspend or remove operators at our discretion

Operator Payments

Operators earn ints for successfully completed jobs
Payment via Stripe Connect to operator's linked bank account
Minimum cashout threshold: $10 USD equivalent
Payments processed monthly unless requested sooner

Operator Responsibilities

Maintain reliable internet connection and hardware
Keep operator software updated
Process jobs promptly and accurately
Report technical issues or suspected abuse
Comply with these terms and applicable laws

7. Intellectual Property

Your Content

You retain all rights to content you submit
You grant us limited license to process and deliver results
We do not claim ownership of your content or results
AI-generated content ownership follows applicable copyright law

Our Platform

IC Mesh software and trademarks are our property
Open source components licensed under their respective terms
You may not copy, modify, or redistribute our platform
API usage is subject to rate limits and acceptable use policies

8. Limitation of Liability

Service Disclaimers

IC MESH IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

Merchantability, fitness for a particular purpose, and non-infringement
Uninterrupted or error-free operation
Accuracy, completeness, or reliability of results
Security of data during processing

Liability Limits

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Our total liability is limited to the amount you paid in the last 12 months
We are not liable for indirect, incidental, or consequential damages
We are not liable for data loss, business interruption, or lost profits
These limitations apply even if we knew of the possibility of such damages

Indemnification

You agree to indemnify and hold us harmless from claims arising from:

Your use of the services
Content you submit for processing
Violation of these terms or applicable laws
Infringement of third-party rights

9. Dispute Resolution

Governing Law

These terms are governed by the laws of the State of Hawaii
Disputes subject to Hawaii state and federal court jurisdiction
You consent to personal jurisdiction in Hawaii courts

Dispute Process

Contact us first to resolve disputes informally
Binding arbitration required for disputes over $500
Arbitration conducted under American Arbitration Association rules
Small claims court available for smaller disputes

Class Action Waiver

You waive the right to participate in class action lawsuits or class-wide arbitration against us.

10. Termination

Termination by You

Cancel your account at any time from the account page
Unused credits will be refunded upon request
Your data will be deleted within 30 days

Termination by Us

We may suspend or terminate accounts for:

Violation of these terms
Fraudulent or abusive behavior
Extended periods of inactivity
Legal or regulatory requirements

Effect of Termination

Access to services immediately discontinued
Unused credits forfeited unless termination was our error
Survival of payment obligations and liability limitations

11. Miscellaneous

Changes to Terms

We may update these terms with reasonable notice
Continued use constitutes acceptance of new terms
Material changes require 30 days advance notice
